YMCA Canada Intranet User Agreement

Terms of Use

For the purposes of these terms and conditions, “YMCA” refers to YMCA Canada and YMCAs and YMCA-YWCAs in Canada, inclusively.

The YMCA Intranet (herein referred to as the “Intranet”) is available to YMCA staff, volunteers, board members and any other person authorized by the YMCA (an “Authorized Third Party”) to provide access to business information, brand assets and other resources to help further the YMCA mission in Canada.

Access and use of the Intranet is governed by the terms and conditions provided below in the User Agreement. Please read the User Agreement carefully.

By accessing and using the Intranet, you are agreeing to be bound by all the terms and conditions of the user agreement.

Disclaimer

The Intranet is provided on an “as-is” and “as-available” basis. This User Agreement is subject to change without notice. YMCA Canada makes no warranties or representations that the Intranet, including its content, information, products or services or other material available through the Intranet, will be provided on an uninterrupted, timely, secure or error-free basis.

Limitation of Liability

Under no circumstances will YMCA Canada be liable for any damages relating directly or indirectly to any action or inaction based on the content, information, products or services or other material available through the Intranet. YMCA Canada will not be responsible for any damages or losses related to, the accuracy, currency or completeness of the content, information, products or services or other material obtained through the Intranet.

Indemnification

You agree to indemnify, defend and hold harmless YMCA Canada, its affiliates, its governing board, officers, agents, employees, partners, funders and suppliers from any liabilities, losses, claims, demands, and expenses (including reasonable lawyer’s fees) related to (a) your use of the Intranet; or (b) violations of these Terms of Use.

Intellectual Property

YMCA Canada owns all rights, including all copyright, in the entire content of the Intranet, unless otherwise indicated. No right, title or interest is granted in the content, information, products or services or other materials available through the Intranet, unless otherwise indicated.

The YMCA logo, “YMCA”, “Building healthy communities”, “Plein de vies”, YMCA Strong Kids logo and “YMCA Strong Kids”, YMCA Pour nos enfants logo and “YMCA Pour nose enfants” are all registered trademarks owned by YMCA Canada and are provided under licence for use on work products authorized by YMCA Canada and local Member Associations.

The names of all other programs, products and services mentioned on YMCA Canada’s Intranet are the trademarks or trade-names of their respective owners, including Member Associations.

The display of trademarks or trade-names on this Website does not convey or create any licence or other rights in these marks or names.

Limited Use

By downloading content from this site, you agree to follow all applicable guidelines for use, including but not limited to our YMCA Brand Guidelines.

The following limitations apply to the use of the Intranet by authorized third parties:

You may not:

  • use the Intranet’s content for commercial purposes;
  • include the Intranet’s content with any product or service that you or your agents create or distribute, including software or other digital products; and
  • display the Intranet’s content on any other website or make available the Intranet’s content on any file server.

Copyright

Nothing in this user agreement shall be construed as conferring any right under any copyright of YMCA Canada or any other person who owns the copyright.

All information on the Intranet is protected by copyright, pursuant to Canadian copyright laws, international conventions, and other copyright laws. All rights reserved. Any reproduction, modification, publication, transmission, transfer, sale, distribution, display or exploitation of the information, in any form or by any means, or its storage in a retrieval system, whether in whole or in part, without the express written permission of YMCA Canada is prohibited.

Third Party Information

Third parties may provide information displayed on the Intranet. The third-party information displayed on the Website is not necessarily sponsored, endorsed, recommended, or licenced by YMCA Canada. The third-parties ought to be contacted directly regarding any inquiries or for more information on their website policies.

Third Party Links

The Intranet may provide links to other Internet sites. YMCA Canada has no control over such sites. YMCA Canada does not endorse nor is it responsible for, any such sites or the information, material, products or services contained on or accessible through those other Internet sites.

Termination

YMCA Canada may at its sole discretion, with or without notice, suspend or terminate your use of the Intranet for any reason, including a violation of the terms of the User Agreement. YMCA Canada may also prevent you from further use of the Intranet. YMCA Canada will not be liable for any suspension, termination or prohibition of future access.

Governing Law

This User Agreement is governed by the law of the province of Ontario and the laws of Canada.
